John handles all aspects of a purchase and sale transaction including negotiating and drafting the purchase and sale agreement, grant deeds, consents, CC&R's and all other related documents, conducting all necessary due diligence, working with the title company and coordinating the closing.
John's purchase and sale experience includes:
advising an insurance company in the purchase and sale of commercial properties, including office buildings and hotels, each valued between $5,000,000 and $10,000,000, located in the San Francisco Bay area and in Los Angeles;
advising an international retailer in the purchase of improved and unimproved land for the operation of shopping centers and stand alone retail stores, each valued between $5,000,000 and $20,000,000, located throughout northern California; and
advising several developers in the purchase and sale of unentitled and entitled lots for development in mixed-use, master planned communities throughout California and Nevada.
Leasing
As counsel to both landlords and tenants entering into office, retail and industrial leases, ground leases, master leases, subleases and assignments, we handle all aspects of a commercial leasing transaction.
John handles all aspects of a commercial leasing transaction including negotiating and drafting the lease agreement, consents, CC&R's and all other related documents, negotiating indemnification and tenant build out provisions, conducting all necessary due diligence, working with the title company and coordinating the closing.
John also provides lease form preparation and maintenance services as well as lease portfolio due diligence and abstracting services.
John's commercial leasing experience includes:
advising multiple national and local businesses as landlords in the leasing of office space in high-rise office towers;
advising an international food chain in the acquisition of a multi-state leasehold portfolio;
advising an international retailer as tenant under ground leases on unimproved land for the operation of retail stores located throughout northern California; and
advising a national cable company in the multi-billion dollar acquisition of franchises and fee-owned and leasehold parcels located throughout the United States.
Real Estate Due Diligence
John has significant experience in the review and analysis of real estate-related matters that occur as part of a larger transaction. This includes the review and analysis of grant deeds, leases, ground leases, tower leases, items placing restrictions on use, title, survey, and any other item that may affect the value or use of a real estate asset.
John’s experience includes:
advising in the selection of retail space for satellite (street front) stores and shopping center stores and of ground leases for traditional stand-alone stores acquired in the bulk acquisition of Boston Market leases from the bankruptcy estate. Performed all aspects of due diligence including lease and ground lease review, title and survey review and review for restrictions on use.
advising a national telecommunications company in its $2.1 billion acquisition of cable television services. Performed all real property due diligence, including the review of deeds, leases, ground leases, tower leases and other related documents.
advising an international health conglomerate in its $113,000,000 acquisition of multiple dialysis facilities along the eastern seaboard.
